Reference is made to the stock exchange notice published by Hofseth BioCare ASA (the “Company”) on 10 March 2025 regarding a contemplated bond issuance.
The Company is pleased to announce that it has now successfully placed CHF-denominated unsecured bonds for a total amount of approximately CHF 3.5 million (the “Bonds”). The Bonds were subscribed for by investors in Switzerland and Liechtenstein. Settlement of the Bonds issue is expected to occur simultaneously as the issue date, which is expected to be on 5 May 2025. The Bonds will not be listed at any stock exchange or trading venue. The net proceeds from the Bonds will be used for general corporate purposes.
The Bonds have a term of three years and will mature on 30 April 2028. The Bonds carry an interest rate of 10% p.a., with quarterly interest payments, the first time on 30 September 2025. The Bonds will be callable by the Company, at par value, at quarterly intervals, the first time on 30 June 2026.
