Sanoma Corporation: Notification of a change in shareholding according to Chapter 9, Section 10 of the Securities Market Act

Sanoma Corporation (Sanoma) has received a notification under Chapter 9, Section 5 of the Securities Market Act (SMA) from Robin Langenskiöld on 9 September 2026. According to the notification, the total holding of Sanoma’s shares and voting rights owned by Robin Langenskiöld decreased below the threshold of 5% as a result of share transactions concluded on 9 September 2026.

To pursue a generational transfer of their ownership in Sanoma, the siblings Robin Langenskiöld and Rafaela Seppälä have, through transfers carried out on Nasdaq Helsinki Ltd. on 9 September 2026, sold their entire shareholding in Sanoma to RR & Co Ab. The purchase price was based on the market price of the Sanoma share on Nasdaq Helsinki Ltd, less an agreed discount.

RR & Co Ab is a newly established company owned and controlled by Robin Langenskiöld’s and Rafaela Seppälä’s children and grandchildren. Robin Langenskiöld and Rafaela Seppälä hold no ownership in, or control over, RR & Co Ab, either directly or indirectly, and the parties to the transfers are independent of each other.

The controlled generational transfer of ownership is intended to maintain the family’s shareholding in Sanoma under a unified ownership structure and to avoid avoidable fragmentation of ownership.
